By completing the purchase process and/or checking ‘agree,’ the Licensee acknowledges that this License Agreement contains crucial legal terms. The Licensee has read the entire License Agreement and agrees to the terms outlined herein, including Section 9 (Important General Legal Provisions). Zeinous provides various types of license agreements, and the one chosen at the time of purchase governs the Licensee’s use of the Licensed Asset.

This agreement outlines the terms and conditions of the non-exclusive and limited copyright license granted to the Licensee for the digital content (referred to as the ‘Licensed Asset’) available on Zeinous.com. Upon purchase, the Licensee will receive an email containing the Licensed Asset item number and a link to this License Agreement. It is important to retain this information for your records. Additionally, this License Agreement may also apply to digital content offered by Zeinous at no charge, provided that such eligibility is expressly indicated during the initial download.

1. PARTIES TO THE LICENSE AGREEMENT

(a) The "Licensee," who is either the individual indicated as the licensee during the purchase process or the licensee's employer (if the individual is acting on behalf of the employer with proper authorization).
and
(b) Zeinous Graphic Design Services ("Zeinous Studio") as the licensor.

2. ASSET MANAGEMENT

The Licensee is allowed to upload the Licensed Asset to either:

  • A server owned and controlled by the Licensee, or
  • A cloud storage service, cloud-based design app, or digital asset manager account controlled by the Licensee.

In both cases, the purpose of uploading the Licensed Asset is for the Licensee’s own use, as permitted by the terms outlined in this agreement.

3. THIS LICENSE AGREEMENT ALLOWS COMMERCIAL USE FOR COMMERCIAL AND COMMERCIAL EXTENDED LICENSE TYPE WHILE NON-COMMERCIAL USE ONLY FOR PERSONAL LICENSE TYPE

COMMERCIAL USE AND NON-COMMERCIAL USE DEFINED

3.1 - Commercial Use

“Commercial use” refers to any use that satisfies one or more of the following criteria:

  1. Involves an exchange of money or other consideration.
  2. Promotes a business (such as a sole proprietorship, corporation, or partnership), product, or service.
  3. Results in financial gain or other consideration, either directly or indirectly, due to the Licensee’s utilization of the Licensed Asset.

If any of these conditions (i, ii, or iii) are met, the use is considered “Commercial.”

3.2 - Non-Commercial Use (Personal)

“Non-commercial” use pertains exclusively to personal purposes. It encompasses activities that are not intended for commercial advantage or monetary compensation. Importantly, any use that meets the definition of “Commercial use” cannot be categorized as "Non-commercial.

4. PERMITTED USES AND QUANTITY/IMPRESSION LIMITATIONS

An “End Use” of a Licensed Asset refers to using the Licensed Asset strictly as outlined below:

4.1 - End Products for Non-Commercial Use

  • Physical Products for Non-Commercial Use: Licensees are allowed to create physical end products (not intended for resale or wholesale) such as clothing, cards, invitations, stickers, mugs, stamps, candles, posters, signs, home decor, and more, solely for non-commercial purposes.
  • Product Packaging for Non-Commercial Use: Licensees may design physical or digital packaging for non-commercial use, including labels, stickers, or containers.
  • Digital Products for Non-Commercial Use: Licensees can create digital end products (such as static designs or static website elements) exclusively for non-commercial purposes.
  • Digital or Print Publication for Non-Commercial Use: Licensees are permitted to use the Licensed Asset in digital or print publications, including cards, invitations, photo albums, scrapbooks, e-books, or e-publications, as long as they are for non-commercial use only.

4.2 - Personal Social Media for Non-Commercial Use

  • Personal Social Media for Non-Commercial Use: Licensees can utilize the Licensed Asset on one personal or individual social media account (not on a company or business social media page) strictly for non-commercial purposes

6. STRICTLY PROHIBITED USES

This License Agreement does not grant the Licensee any of the following rights, all of which are expressly retained:

6.1 - Resale or Sub-Licensing in Source File Form: Licensees are strictly prohibited from reselling or sub-licensing the Licensed Asset or any modifications of it in source file form.

6.2 - Directly Competitive Resale or Sub-Licensing: Licensees may not resell or sub-license the Licensed Asset or any modifications of it in a manner directly competitive with the original Licensed Asset. For instance, this prohibition applies to using the asset as a stock asset or template.

6.3 - Public Sharing or Redistribution: Licensees must not make the Licensed Asset publicly available or share it in a way that allows others to download, extract, or redistribute the content file as a standalone item. This restriction applies even if the project or end use is otherwise permitted.

6.4 - Other Prohibited Uses of the Licensed Asset

The following uses of the Licensed Asset are strictly prohibited:

(a) Harmful or Risk-Inducing Use:

  • Any use that may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, or disfigurement to you, others, or animals.
  • Any use that may cause loss or damage to individuals or property.

(b) Exploitation of Children:

  • Use that seeks to harm or exploit children by exposing them to inappropriate content or requesting personally identifiable information.

(c) Criminal or Tortious Activities:

  • Use that may constitute or contribute to a crime or tort.

(d) Unlawful, Offensive, or Defamatory Content:

  • Use that contains information or content deemed unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating, libelous, threatening, profane, or otherwise objectionable.

(e) Illegal Information or Trade Secrets:

  • Use that discloses insider information under securities law or another party’s trade secrets.

(f) Unauthorized Content:

  • Use that makes available information or content you do not have the right to share under any law or contractual or fiduciary relationships.
  • Use that includes incorrect or outdated information.

(g) Promotion of Harm:

  • Use that promotes racism, bigotry, hatred, or physical harm against any group or individual.

6.5 - Falsely Representing Authorship and Ownership: - Falsely claiming authorship or ownership of the Licensed Asset is strictly prohibited.

6.6 - Other More Prohibited Uses: - Any use not expressly permitted in Section 4 (Permitted Uses and Quantity/Impression Limitations) is strictly prohibited .

7. PROHIBITION ON CLIENT, SERVICE PROVIDER, AND THIRD-PARTY USE

  • Client and Service Provider Use: The use of the Licensed Asset by clients or service providers is strictly prohibited.
  • Third-Party Use: If a third party wishes to use the Licensed Asset, they must obtain their own license unless a custom license has been purchased.

Disclaimer of Warranties

The use of the licensed asset by the licensee carries inherent risk. The licensed asset is provided in its current state, without any express or implied warranties. Zeinous explicitly disclaims all warranties, whether statutory or otherwise, including but not limited to warranties of merchantability, non-infringement, and fitness for a specific purpose. This disclaimer does not affect any warranties that cannot be excluded or limited under applicable law.
